Terms of Service

The following Terms (“Terms of Service”) constitute a legal agreement between Sophie Chi Yoga (“We”, “Us or “Our”), and the user (“You”) that governs Your use of this Website and all of its online services, content and functionality (the “Services”).

This policy applies to the Website administered by Sophie Chi Yoga, located at www.sophiechiyoga.com (the “Website”). The agreement comprises these Terms of Service and Privacy Policy (collectively the “Terms”).

The term “Services”, as used herein, includes without limitation, yoga classes (live, in person, online with zoom, pre-recorded or recorded), Flow State Studio, Cyclical Living Program, 1:1 Flow State Sessions, Yoga Teacher Mentoring, Alchemise - 50 hour Yoga Alliance Training for Women, Menstrual Cycle Coaching, Yoga Teaching tips, workshops, yoga courses, yoga programs, yoga tutorials, mobility tips, meditation tips, breathing tips, philosophy classes, menstrual cycle awareness, fertility awareness education, email services, links and any other Service which may be accessed through any device now known or hereafter developed and available on the Website. You understand and agree that the Services may include service announcements, marketing and administrative messages.

Your use of the Website and Services constitutes Your acceptance of, and agreement to the following Terms of Use. Sophie Chi Yoga reserves the right to modify, alter, amend or update its Website, policies and these Terms of Use.

These Terms of Use are subject to change without notice. For this reason, we encourage You to review these Terms whenever you use our Website, because by visiting the Website, you agree to accept any such changes. Sophie Chi Yoga provides you with access to and use of the Website subject to your compliance with the Terms. If you do not agree with or do not accept any part of these Terms of Use, You must not use the Website or Services from Sophie Chi Yoga. It is prohibited to use the Website or Services without accepting the Terms.

If You use free resources (for example a free trial, classes, podcasts, newsletters, workshops, tutorials, ebooks, PDF's) you also agree to be legally bound by this contract.

The Website is intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Website. If you are a minor, you must have your parent or guardian read and agree to these Terms of Service prior to you using the Website.

ACCEPTANCE OF TERMS

In order to use the Services, you must first agree to the Terms. You may not use the Services if you do not accept the Terms. You accept the Terms:

By browsing and using the Website; or
By clicking the option of accepting the Terms, where this option is made available to you in the user interface for any Service; or by
Entering your personal information to subscribe to the Services, where this option is made available to you in the user interface for any Service; or
Enrolling in an online course; or
Enrolling in the membership portal "Flow State Studio"
Enrolling in online classes, workshops and lessons
Enrolling in the Yoga Teacher Mentoring Program
Purchasing and participating in 1:1 Flow State Sessions; or
By using the Services. In this case, you understand and agree that Sophie Chi Yoga will treat your use of the Services as acceptance of the Terms from that point onwards.

You may not use the Services and may not accept the Terms if:

According to the valid and applicable law you are not of legal age to form a binding contract with Sophie Chi Yoga; or
You are a person barred from receiving the Services under the laws of any country including the country in which you are resident or from which you use or plan to use the Services.

WEBSITE CONTENTS

No material from the Website may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way, except as specifically permitted on the Website. You also may not “mirror” any material contained on this Website or any other server. The Website, including all of its information and content, including text, data, icons, artwork, images, photographs, graphics, sound, videos (collectively, “Materials and Content”), is Sophie Chi Yoga property. Except as otherwise stated on the Website, you may not download, upload, copy, print, display, perform, reproduce, publish, post or distribute any Materials and Content from this Website in whole or in part.

We grant you a personal, limited, nonexclusive, non-transferable license to access the Website and to use the Services for your personal, noncommercial use. We reserve the right, for any reason or for no reason, in our sole discretion and without notice to you, to revise the Services described on the Website and to terminate, change, suspend or discontinue any aspect of the Website, including, but not limited to, the Materials and Content, features and hours of availability of the Website, and we will not be liable to you or to any third party for doing so. We may also impose rules for and limits on use of the Website or restrict your access to part, or all of the Website without notice or penalty.

The content on this Website does not constitute medical advice. You should consult your doctor before beginning any exercise, training, yoga, mobility or athletic program, including but not limited to Sophie Chi Yoga classes. Sophie Chi Yoga is not responsible for any medical or health problems that may result from your engaging in any activities described on this Website or from any information you obtain from this Website. If you ever feel discomfort or pain, you should not continue.

THE TERMS

Anyone wishing to take part in yoga, mobility and exercise with Sophie Chi Yoga - whether live, in person, online or pre-recorded instructional video - must adhere to the following terms:

Anyone taking part in Sophie Chi Yoga Services does so at their own risk
Sophie Chi Yoga does not accept any responsibility for any individual or group of individuals, who participate in Sophie Chi Yoga Services
You must be in good physical health to participate in Sophie Chi Yoga Services. If you have been told by a medical professional that you should not take part in physical activity or sport, then you cannot participate in Sophie Chi Yoga Services.
To practice in a safe way, you must make sure the area you use is suitable. The area must be a flat surface and clear of any obstacles near and around you.

Registration Requirements:

To subscribe to Services, receive emails, discounts, and other offers from Sophie Chi Yoga, you must register on the Website. In order to register, you are required to provide your name and contact information. You agree to provide true, accurate, current and complete information about yourself (the “Registration Data”) and maintain and promptly update the Registration Data to keep it true, accurate, current and complete. Sophie Chi Yoga may reject access or terminate the use of the Services to any subscriber or registered account that it deems inappropriate or inaccurate for any reason.

Account Requirements:

You agree to use the Website only for the purposes that are permitted by the Terms and any valid and applicable law, regulation or generally accepted practices in the relevant jurisdictions. You are responsible for maintaining the confidentiality of your Registration Data, and you are responsible for all activities that occur under your username or account. If you discover or suspect any unauthorised use of your account, you agree to immediately notify Sophie Chi Yoga. Sophie Chi Yoga may terminate any account that is inactive for an extended period of time, or for any reason at all, in its sole discretion.

Disclosure of Account Information:

You acknowledge and agree that Sophie Chi Yoga may access, preserve and disclose your account information or Registration Data if required to do so by law or if such access, preservation or disclosure is necessary to: (a) comply with legal process; (b) enforce the Terms; (c) respond to your requests for customer service; or (e) protect the rights, property or safety of Sophie Chi Yoga or anyone else.

REFUND POLICY

Online Courses:

In the nature of digital products, all Courses accessible via the Website have strictly no refund.

Online Flow State Studio:

There is no refund for monthly or yearly subscription to the Flow State Studio.

Online Classes:

There is no refund for online or in person classes, including 1:1 Flow State Sessions, group yoga classes and privates.

Coaching and Mentoring:

There is no refund for the Yoga Teacher Mentoring Program or Menstrual Cycle Coaching. Specific details are inside the client contracts.

Alchemise - 50 hour Yoga Alliance Training for Women:

There is no refund for Alchemise before, during or after the training.

Cancellation Policy:

There is a strict cancellation policy for private yoga classes (in person and online), private yoga teacher mentoring and menstrual cycle coaching. Cancellation or rescheduling may be made free of charge ATLEAST 24 hours before class commences.

Contact must be made within this time frame to [email protected] or via WhatsApp to avoid cancellation fees. Cancellations or rescheduling within 24 hours of class time will incur the full class fee. No shows incur the full class fee.

Definition of "Lifetime Access"

The Second Edition Flow State: Hip Mobility Series is offered with Lifetime Access, as well as other Yoga Series such as "Backbends: A Spacious Heart" and "Yoga for the Cycle Series" and any other services stated with Lifetime Access. This refers to the "lifetime" of the course only, which can be closed down at any time when Sophie Chi Yoga feels the course is no longer relevant. Sophie Chi Yoga reserves the right to close down the course at any time. By purchasing the Second Edition Flow State: Hip Mobility Series, you agree and accept these conditions. In the event that Sophie Chi Yoga decide for the course's "lifetime" to end, enrolled students will be given two weeks notice via email, with the opportunity to download all of the video material in the course.

The First Edition Flow State: Hip Mobility Series students have a one year access to the course, and may pay a small fee to transfer their account over to Lifetime Access. Please contact [email protected] for queries.

ALCHEMISE - 100 HOUR TERMS & CONDITIONS

Definitions

"Course organisers/providers" means SOPHIE CHI YOGA and its representatives

"Course materials" means any and all collateral provided to participants before and throughout the course, including but not limited to PDF documents; knowledge, tools and practices transmitted during course live sessions by the course providers or guest teachers/facilitators; audio or video content shared on the course training platform; in the course training manual; and any imagery used within these mediums where copyright is not attributed to an external source.

"Course tools and practices" is included in the definition of "course materials" above.

"Course commencement date" means the date of the Opening Call.

"Course closing date" means the date of the Closing Call.

General Terms of Agreement

You understand that you are entirely responsible for your own personal safety, health, and mental, physical, emotional, and general well-being during and after the training.
You understand furthermore that SOPHIE CHI YOGA is not licensed to give medical advice, and as such any knowledge gained from participating in the course does not constitute medical advice for you as a participant, or for any of your own clients or others with whom you apply the knowledge gained.
By proceeding with payment for the course, you release the course organisers, providers and their representatives of any liability for any injuries or damages mentally or physically you or any of those close to you might incur during or after the training.
The practice of the tools and practices provided in the course is not an exact science and so predictions of the effects of the training and the implementation of the tools and practices provided are not precise or guaranteed. By consenting to these terms, you acknowledge that you understand this; that no guarantees have been made to you by the course providers as to the impact of the course; and that you will not offer any guarantees to your future clients/participants when teaching this work as to the impact of it on them and those around them.
Application for the course must be done individually. Course fees are due per person taking part and the course content and materials are not to be shared with any third party without the prior consent of the course organisers, or until you have completed the course and earned the certification.
This training supports potent personal transformations for our students. However, it is not a trauma healing program.
The level of challenge and support in this training caters specifically to women who already have a strong base of personal mental health. However, we do not assume responsibility for resolving the mental health challenges of our students. The students of this program are expected to self-manage any existing mental health challenges independently.
Students understand that in order to get certified they must watch all of the sessions (live or recorded) and attend the 1:1 mentoring session with Sophie.

Refunds Policy

In the nature of this being an online Training, there are strictly no refunds.
Participant bookings are not transferable to another person or another course.
This program is non-transferrable to another program.

Cancellation Policy

SOPHIE CHI YOGA reserves the right to cancel a program at any time, for any reason, prior to the commencement of the course, in the event of which you will receive a full refund.

Course Content

The course content is made available for you through the Alchemise Portal for one year from the end of the Training (until 4 September 2025)
Under no circumstances should any course content to be shared with others. Your purchase of the course entitles you to keep the content for your own future reference only.

Live Call Recording

By taking part in any live calls during the course, you are consenting to these recordings being uploaded to the course platforms for all participants to re-watch and download for their personal use.
In addition, by taking part in the live calls, you are consenting for the course organisers to possibly re-use the recordings of these calls in future iterations of the course, or other offerings/trainings. This will include any comments you make verbally, or through the call chat box if they are read out and footage of you interacting with the teacher or other participants in the call should you choose to do so.

Payment Plan Terms of Agreement

In choosing to sign up for a payment plan, the participant commits to completing payment of all course fees by the agreed dates.
Payment plans take automatic payments from the designated payment card for the duration of the plan. The participant agrees to ensure that the designated payment card has ample funds to pay for the entire payment plan.
If a participant misses a payment for any reason, access to all course content will be paused until the missing payment(s) are complete.
Following the first payment plan payment, subsequent payments will be taken on a monthly basis. These future payments will be taken automatically from the payment method used for the first payment.
In the case that a participant wishes to cease their participation in the course, the course fees remain due in full, according to the payment plan schedule. We do not offer refunds of any course fees paid, or waive any future payment plan payments.
We do not accept payment plans via bank transfer.
Payment plans are always offered at the discretion of the course providers.

Gaining Your Certification

To gain your certification, you must watch all of the group session calls (live or recorded) and attend your 1:1 mentoring session with Sophie.

PROHIBITED USE:

The Website is available only for your personal, non-commercial use which shall be limited to viewing the Website, purchasing Services, providing information to the Website and downloading information (only when specifically suggested). Any permission granted herein terminates automatically without further notice if you breach any of the Terms. Upon such termination, you agree to immediately destroy any downloaded and/or printed materials.

As a user of the Website, You agree not to:

Register information that isn’t true, accurate, current or complete (and will maintain the accuracy of such information and promptly update such registration information as necessary)
Register if under the age of 18, or are a minor in the jurisdiction in which you reside (or if a minor, you have received parental permission to use the Website)
Access the Website through automated or non-human means, whether through a bot, script, or otherwise
Systematically retrieve data or other content from the Website to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
Make any unauthorised use of the Website, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords;
Communicate, transmit or post material that is copyrighted or otherwise owned by a third party unless you are the copyright owner or have the permission of the owner to post it
Attempt to interfere in any way with the Website’s networks or network security, or attempting to use the Website's service to gain unauthorised access to any other computer system
Communicate, transmit or post material that is in violation of applicable laws or regulations
Engage in any activity that interferes with or disrupts the Website, the Services or the servers and networks which are connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services
Use the Services for any fraudulent or illegal purpose, or to gather personally identifiable information without prior consent
Post any content, or link to any website (“other websites” or Third-Party Websites”), that contains any obscene, violent, illegal or objectionable material
Reproduce, duplicate, copy, sell, trade or resell the Services for any purpose; or

Use a buying agent or purchasing agent to make purchases on the Website

Make improper use of our support services or submit false reports of abuse or misconduct.

Illegal Conduct:

Sophie Chi Yoga reserves the right, in its sole discretion, with or without notice, to investigate, and to involve and cooperate with law enforcement authorities, and to pursue a civil lawsuit or criminal prosecution for any alleged or actual illegal activities involving the Services or use of the Services or the Website.

USER GENERATED CONTRIBUTIONS

The Website may invite you to chat, contribute to, or participate in blogs, message boards, online forums, “Social Media” (including but not limited to Facebook, Instagram, Youtube, Twitter and Whatsapp) groups and pages, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Website, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, “Contributions”).

Contributions may be viewable by other users of the Website and through Third-Party Websites like Social Media. As such, any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you thereby represent and warrant that:

The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party

Your Contributions do not violate any federal or state law concerning child pornography, or otherwise intended to protect the health or well-being of minors;
Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap
Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms of Service, or any applicable law or regulation

Any use of the Website in violation of the foregoing violates these Terms of Service and may result in, among other things, termination or suspension of your rights to use the Website.

ZOOM CLASSES

All online group Services (classes, workshops, lessons) are recorded and may be used, stored and available to the public through membership platforms (Flow State Studio or the Alchemise Portal) or YouTube.

Services recorded will be primarily of Sophie Chi Yoga, however when you ask questions or write in the chat box, your name and face will appear as part of the recording.

You agree, when registering and participating in an online group Service, for the Service to be recorded and distributed in the future in public spaces including the Flow State Studio, Alchemise Portal or YouTube.

CONTRIBUTION LICENSE

By posting your Contributions to any part of the Website (or making Contributions accessible to the Website by linking your account from the Website to any of your Social Media accounts),, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorise sublicenses of the foregoing. You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Website.

You are solely responsible for your Contributions to the Website and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorise any Contributions to place them in more appropriate locations on the Website; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.

GUIDELINES FOR REVIEWS

We may provide you areas on the Website to leave reviews or ratings. When posting a review, you must comply with the following criteria:

Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Website and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms of Service no longer govern.

Additionally, you shall hold us harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.

TERMINATION

The Terms will continue to apply until terminated by either you or Sophie Chi Yoga. If you want to terminate your legal agreement with Sophie Chi Yoga, you may do so by:

Sending a written notice to [email protected], clearly stating your will to terminate the agreement
Sophie Chi Yoga may terminate this agreement with you at any time, in its sole discretion, and with or without prior notice, including (but not limited to) if:
- You have breached any provision of the Terms;

Participants hereby acknowledge and agree that participation in any Service is voluntary and solely within the discretion of the participant. Participation in Services may have considerable risks, seen and unforeseen, including without limitation, (i) head or brain injuries; (ii) neck, spinal or vertebral injuries; (iii) injuries to the back, shoulders, knees, or extremities; (iv) increased risk of arterial tear or blockage and blot clots; (v) bone fractures, (vi) joint dislocations or degeneration; (vii) risk of strokes; (viii) muscle or ligament tears; and (ix) injuries caused by contact with another person or object arising from your participation in the Services.

INDEMNITY:

This jurisdiction clause shall apply to all customers and clients engaging with Sophie Chi Yoga and shall be binding upon them and Sophie Chi Yoga. By engaging with the services provided by Sophie Chi Yoga, customers and clients acknowledge and agree to the jurisdiction clause stated herein.
